Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Ujumbe Pay website, APIs, console, WhatsApp Pay, payment links, invoices and all related payment orchestration services ("Services") provided by Ujumbe Global Company Limited("Ujumbe", "we", "us"). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Definitions
- Merchant: a business or individual approved to collect payments through Ujumbe Pay.
- Payer: the person making a payment to a merchant.
- Provider: a payment or mobile-money provider that actually moves funds (for example, Selcom, M-Pesa, Tigo Pesa, Airtel Money, card networks or banks).
- Collection: the total amount paid by a payer, before Ujumbe fees, provider costs or merchant payout.
2. Eligibility and accounts
To open a merchant account you must provide accurate, complete and current information, pass identity and business verification, and keep that information updated. We may refuse, suspend or terminate any account that does not meet our requirements or that we believe is high risk, fraudulent or in breach of these Terms.
3. The services
Ujumbe Pay provides payment orchestration, fee calculation, ledger recording, settlement and reconciliation. We are not a bank. We do not hold funds unless explicitly authorised as a settlement agent. Funds are settled through the banking or payment provider network to the verified merchant settlement account.
4. Merchant obligations
- You may only use the Services for lawful transactions and must deliver the goods or services promised to payers.
- You must honour refunds, returns and chargebacks in line with your own policies and the law.
- You must not process payments for prohibited items or services, including illegal goods, gambling, fraud, money laundering, sanctioned persons or counterfeit products.
- You are responsible for the security of your API keys and console credentials; any transaction made with them is your responsibility until you report them compromised.
5. Fees and settlement
Fees are calculated according to the fee rules published in your merchant console. The fee may be fixed, percentage-based, tiered or capped. Provider fees, bank charges, withholding taxes and other third-party costs are shown where known and may be deducted from the settlement amount. Settlement timing depends on the merchant’s verified settlement account and the relevant provider’s settlement cycle.
6. Refunds, chargebacks and reserves
We may reverse or hold funds to cover refunds, chargebacks, disputes, fines, fees or suspected fraud. You authorise us to debit your merchant balance or settlement to recover any amounts owed to us.
7. Intellectual property
Ujumbe Pay, the Ujumbe Global name and logo, and all related software, designs, content and marks are owned by Ujumbe Global Company Limited. You may not copy, reverse engineer or reuse them without written permission. You retain ownership of your own trademarks and content uploaded to the platform.
8. Limitation of liability
To the fullest extent permitted by law, Ujumbe is not liable for indirect, incidental, consequential or punitive damages, loss of profits, or any loss arising from provider failures, payer disputes, unauthorised account access caused by your negligence, or events outside our reasonable control. Our aggregate liability for any claim is limited to the fees you paid to us in the 30 days before the event giving rise to the claim.
9. Indemnification
You agree to indemnify and hold Ujumbe, its affiliates and personnel harmless from any claim, loss, liability, fine or cost arising from your use of the Services, your breach of these Terms, or your transactions with payers.
10. Termination
Either party may terminate the merchant relationship at any time. We may suspend or close an account immediately for fraud, illegal activity, breach of these Terms or risk to our systems or other users. Upon termination, outstanding fees, reserves, refunds and pending settlements will still be due.
11. Governing law and disputes
These Terms are governed by the laws of Tanzania. Any dispute will first be resolved in good faith through direct negotiation, and if unresolved, through the courts of Tanzania.
12. Changes to the terms
We may update these Terms as the Services or the law change. The latest version is always at ujumbepay.com/terms-of-service. Continued use after changes means you accept the new terms.
